4. M-Score Credit Assessment

Our proprietary M-Score algorithm analyses transaction data, relationship quality, and business fundamentals to generate credit assessments. This process involves automated decision-making. You have the right to request human review of any automated credit decision that affects your access to financing.

5. Data Sharing

We share your information only in the following circumstances:

• Financial Institutions: Approved data shared with partner banks and NBFIs for financing decisions
• Corporate Anchors: Transaction data shared as necessary to facilitate supply chain operations
• Service Providers: Third-party providers who assist in operating the Platform (hosting, analytics, communications)
• Legal Requirements: When required by law, regulation, or legal process

1. Acceptance of Terms

By accessing or using the Ankara Platform operated by Mtaji Technologies Limited, you agree to be bound by these Terms of Service. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Description of Services

Mtaji operates a marketplace that connects corporate anchors, their supply chain participants (suppliers and distributors), and financial institutions. Our services include supply chain data aggregation, M-Score credit assessment, financing facilitation, and transaction monitoring.

3. Account Registration

To use the Platform, you must register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorised use.

4. User Obligations

As a user of the Platform, you agree to:

• Provide accurate and truthful information
• Use the Platform only for lawful business purposes
• Not attempt to circumvent security measures or access controls
• Not upload malicious code, viruses, or harmful content
• Comply with all applicable laws and regulations
• Not use the Platform to facilitate money laundering or terrorist financing

5. Marketplace Role

Mtaji acts as a marketplace orchestrator and technology provider. We are not a bank, financial institution, or lender. Financing decisions are made by our partner financial institutions. We do not guarantee approval of any financing request or the availability of financing at any particular terms.

6. M-Score and Credit Assessment

The M-Score is a proprietary credit assessment tool. While we strive for accuracy, the M-Score is an indicative assessment and does not constitute a guarantee of creditworthiness. Financial institutions may apply their own additional criteria when making financing decisions.

7. Fees and Payments

Fees for using the Platform are set out in your service agreement. Transaction fees, if applicable, will be clearly disclosed before you confirm any transaction. We reserve the right to modify our fee structure with 30 days' prior written notice.

8. Intellectual Property

The Platform, including the M-Score algorithm, software, designs, and content, is the intellectual property of Mtaji Technologies Limited. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You may not copy, modify, reverse engineer, or create derivative works from any part of the Platform.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged through the Platform. This obligation survives termination of these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

10. Limitation of Liability

To the maximum extent permitted by law, Mtaji shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Mtaji, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the use of the Platform with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms or if required by law. Upon termination, your right to use the Platform ceases, but provisions regarding intellectual property, confidentiality, limitation of liability, and governing law survive.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Kenya, unless otherwise agreed in writing.

14. Amendments

We may amend these Terms at any time by posting the revised version on our website. Material changes will be communicated via email or in-platform notification at least 30 days before they take effect. Your continued use of the Platform constitutes acceptance of the amended Terms.
